SatinVault Affiliate Program

Effective Date: January 1, 2025

1. Eligibility

You must be at least 18 years of age to participate in the SatinVault Affiliate Program. By applying, you represent that you are of legal age and that all information you provide is accurate, current, and complete. Only one account is permitted per person or legal entity. SatinVault reserves the right to reject any application or terminate any account at its sole discretion, including for failure to meet eligibility requirements.

2. Account Responsibilities

You are solely responsible for maintaining the security and confidentiality of your account credentials. Do not share your username, password, or API credentials with any third party. You must keep your contact information, payment details, and tax information accurate and up to date. In the event of any unauthorized access to or use of your account, you must notify SatinVault immediately. SatinVault is not liable for any loss or damage arising from your failure to protect your account credentials.

3. Prohibited Practices

The following practices are strictly prohibited and may result in immediate account termination and forfeiture of unpaid commissions:

• Spam and unsolicited communications. You may not send unsolicited emails, messages, or other communications to promote SatinVault offers. All email marketing must comply with applicable anti-spam laws, including CAN-SPAM and CASL.
• Incentivized traffic. You may not pay, reward, or otherwise incentivize users to sign up, click links, or complete conversions on our offers.
• Cookie stuffing and click fraud. Any technique that artificially inflates clicks, impressions, or conversions — including cookie stuffing, forced redirects, bot traffic, or automated tools — is strictly prohibited.
• Trademark bidding. You may not bid on SatinVault, VelvetBox, or any other SatinVault brand terms in paid search advertising without prior written approval.
• Adult content on prohibited platforms. You may not display adult or explicit content on advertising platforms or networks that prohibit such material in their terms of service.
• Misleading claims. You may not make false or misleading claims about SatinVault products, commission rates, or program features. All promotional materials must accurately represent the offers being promoted.

4. Commission Terms

Commissions are earned in accordance with the current rate schedule published in your affiliate dashboard. SatinVault reserves the right to modify commission rates with 30 days' prior notice. Conversions that are determined to be fraudulent, invalid, or in violation of these Terms may be reversed at any time. Chargebacks and refunds on underlying orders may result in a corresponding adjustment to your earned commissions. SatinVault's determination of conversion validity is final.

5. Payment

Payouts are processed on the 15th of each calendar month for commissions earned during the prior month. Supported payment methods include PayPal, wire transfer, Paxum, and cryptocurrency. The minimum payout threshold is $100. Earnings below the threshold will roll over to the following month. You are solely responsible for any taxes, duties, or withholding obligations applicable to your commission payments. SatinVault does not provide tax advice.

6. Intellectual Property

SatinVault grants you a limited, non-exclusive, non-transferable, revocable license to use SatinVault-provided brand assets — including logos, banners, and promotional creatives — solely for the purpose of promoting the program as permitted under these Terms. You may not alter, modify, crop, or otherwise change any brand asset without prior written approval. All intellectual property rights in SatinVault brand assets remain with SatinVault. This license terminates automatically upon the closure or termination of your affiliate account.

7. Termination

Either party may terminate this agreement with 14 days' written notice. SatinVault may terminate your account immediately and without notice in the event of a material breach of these Terms, including any prohibited practice described in Section 3. Upon termination, any undisputed commissions that have been earned but not yet paid will be disbursed at the next regular payout date, minus any applicable reversals or adjustments. Commissions subject to chargeback or fraud review at the time of termination may be withheld pending resolution.

8. Limitation of Liability

SatinVault and its affiliates, officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the affiliate program, even if advised of the possibility of such damages. In no event shall SatinVault's total aggregate liability exceed the total commissions paid or payable to you in the twelve (12) months preceding the event giving rise to the claim.

9. Modifications

SatinVault may update or modify these Terms at any time. We will provide at least 30 days' notice of material changes via the email address on file for your account. Your continued participation in the affiliate program after the notice period has elapsed constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must terminate your account before the effective date of the changes.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.
